Brandon E. Bell
Partner
Mr. Bell is a Partner is the Firm’s Business Group. His
practice focuses on representing publicly and privately held
companies in corporate transactions. He has extensive
experience in structuring and organizing business entities,
and negotiating and documenting a broad range of
transactional matters, such as asset and stock sales and
acquisitions, mergers, joint ventures, buy-sell agreements,
operating agreements, partnership agreements, employment
agreements and secured loan transactions. He also counsels
clients on corporate governance and day-to-day operations
issues.
A substantial part of Mr. Bell’s practice involves a
proactive “preventive law” approach that helps businesses
eliminate legal risks before they turn into costly and
time-consuming legal problems. Drawing on his extensive
experience in business transactions and advising business
owners and boards of directors, Mr. Bell regularly performs
“legal audits” of businesses to identify the legal risks
that affect the businesses. Mr. Bell then develops solutions
that are specifically tailored to the particular needs and
circumstances of each business, protecting the business from
legal risk to the greatest extent possible.
Professional Activities and Achievements
Mr. Bell is a member of the American Bar Association,
Illinois State Bar Association, State Bar of Wisconsin, and
Chicago Bar Association. He also participates in “Lawyers in
the Classroom,” a legal education project that is
co-sponsored by Chicago Public Schools and the
Constitutional Rights Foundation. Prior to joining the firm
in 1998, Mr. Bell gained valuable business experience as
director of operations and general counsel of Hoops, Inc., a
Chicago-based chain of upscale fitness facilities.
Mr. Bell was named a 2006 Illinois Super Lawyer by Law &
Politics Magazine, as recognized by his peers in the
Illinois legal community. Only five percent of Illinois
attorneys are recognized as Super Lawyers each year.

Mr. Bell has presented seminars on the subjects of internet
legal research and drafting corporate documents.
