F. Miller
Partner
Mr. Miller is a partner and co-chair of the Firm’s Business
Transactions group. He has been in private practice for more
than 25 years and concentrates his practice on corporate and
transactional matters, serving primarily privately-held
businesses of all sizes, including corporations, limited
liability companies and limited partnerships. Mr. Miller has
substantial experience in areas such as the formation,
acquisition, sale and other disposition of business
entities; investment by foreign nationals; the procurement
of capital and operating funds through lender financing,
venture capital investment and private placements; mergers
and stock acquisitions; distributorship agreements; employee
and independent contractor agreements; stock issuances;
stock redemptions; shareholder disputes; and asset
protection planning. In addition to handling business
transactions, Mr. Miller counsels clients in connection with
their formation, governance, and day-to-day activities.
Professional Activities and Achievements
He is a member of the Chicago Bar Association’s Corporation
Law Committee, the Illinois State Bar Association’s
Corporate Law Section, and the American Bar Association’s
Section of Business Law.
Recent Publications
Mr. Miller has spoken on a variety of issues at various
seminars including employee restrictive covenants and
business succession matters. He has been featured in trade
journals regarding noncompete and confidentiality
restrictions and employment tax matters. Mr. Miller also
co-authored “Unclaimed Property Act and Bank Service
Charges,” which appeared in Illinois Banker, Volume 63, No.
8.
